Code of Ethics and Business Conduct

We expect each Synopsys employee to exercise good judgment, to act ethically, and to comply with the letter and spirit of the law. We have memorialized this longstanding commitment to fair and ethical business practices in our Code of Ethics and Business Conduct (the “Code”).

Please note that certain hyperlinks contained in the Code are only active when accessing the Code from Synopsys’ intranet.

Business Partner Code of Conduct

The Synopsys Business Partner Code of Conduct (the “ Partner Code”) is the roadmap for Synopsys Business Partners to do business the right way. By conducting business with Synopsys, each Business Partner agrees to comply with the Partner Code and to maintain the highest ethical standards under any and all circumstances. Business Partners understand that engaging in conduct that is in violation of the Partner Code or is otherwise unethical is grounds for termination or non-renewal of their relationship with Synopsys. The Partner Code applies to certain business partners, such as distributors, resellers, and vendors performing services on behalf of Synopsys.

Supplier Code of Conduct

Synopsys’ commitment to responsible business practices extends to our suppliers. To that end, we expect all direct suppliers to abide by the Synopsys Supplier Code of Conduct in addition to conducting its business in a manner consistent with the Synopsys Code of Ethics and Business Conduct. Direct suppliers are those in our supply chain that provide the goods and materials we incorporate into our hardware products. Synopsys’ Supplier Code of Conduct is based on the Responsible Business Alliance (RBA) Code of Conduct.

Updates to the Code of Ethics and Business Conduct

On April 8, 2021, the Board of Directors of Synopsys amended and restated the Code of Ethics and Business Conduct. This amendment did not change the principles of the Code; rather the Code was revised to:

  • Increase emphasis on Synopsys’ commitment to diversity and inclusion.
  • Describe our efforts towards environmental and community stewardship.
  • Rebrand the Ethics Hotline as Synopsys’ Integrity Helpline and encourage employees to submit compliance questions and inquiries (not only reports).
  • Incorporate learning aids to highlight important Synopsys values and potential compliance issues.
  • The above is only a summary of changes to the Code. Please refer to the full text of the Code.

The updated Code has become effective in the U.S. and most other regions on April 30, 2021. Some jurisdictions have a later effective date for the amended Code consistent with local law requirements and procedures.
