We expect each Synopsys employee to exercise good judgment, to act ethically, and to comply with the letter and spirit of the law. We have memorialized this longstanding commitment to fair and ethical business practices in our Code of Ethics and Business Conduct.
On June 26, 2012, the Board of Directors of Synopsys amended the Code to reflect the following changes:
- The title of Synopsys’ Chief Ethics Officer was changed to “Chief Ethics and Compliance Officer” and all references in the Code were updated accordingly.
- References to Synopsys’ Chief Executive Officer were updated to include Synopsys’ Co-Chief Executive Officers, as applicable, in light of the promotion of Synopsys’ Chief Operating Officer to Co-Chief Executive Officer on May 21, 2012.
- The Code’s description of the trading restrictions for Synopsys’ Section 16 Officers was clarified.
Effective December 13, 2012, Synopsys' Code of Ethics and Business Conduct was further amended and restated to increase efficiency and understanding and provide additional guidance in several areas including: Additional Responsibilities for Leaders; Communicating Responsibly; Treating our Customers Fairly; Compliance with Government Contracting Requirements; Protecting Intellectual Property and Confidential Information; Avoiding Conflicts of interest; Anti-Corruption / Anti-Bribery; Global Safety and Security; Maintaining a Drug-free and Alcohol-free Workplace; Effective Records Management; Speaking on Synopsys’ Behalf; Contracting Authority, and Respecting Privacy. Additional technical, administrative, and other non-substantive amendments were also made to the other provisions of the Code.
